We refer to the announcement made on 10 October 2025 in relation to the Proposed Private Placement (“Announcement”). Unless otherwise defined, the definitions set out in the Announcement shall apply herein.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities has, vide its letter dated 15 October 2025, approved the listing and quotation of up to 156,751,000 Placement Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:

(i)   Key ASIC and TA Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;
 

(ii)   In the event the Proposed Private Placement is not completed before the next annual general meeting, TA Securities is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming annual general meeting for the authority to issue shares pursuant to the Companies Act, 2016 before the listing of the Placement Shares;
 

(iii)   Key ASIC and TA Securities are required to inform Bursa Securities upon completion of the Proposed Private Placement; and
 

(iv)   Key ASIC is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed.
