The Board of Directors (“Board”) of GIAB wishes to announce that the Company has today received a letter from Fong Pok Yee and Derrick Chia Kah Wai (collectively, “Non-Entitled Shareholders”), both being shareholders of the Company, notifying the Company of their intention to privatise the Company via a selective capital reduction and repayment exercise pursuant to Section 117 of the Companies Act 2016 (“Act”) (“SCR Offer Letter”) (“Proposed SCR”).

The Proposed SCR involves GIAB undertaking a selective capital reduction and repayment exercise pursuant to Section 117 of the Act to all shareholders of GIAB (save for the Non- Entitled Shareholders) whose names appear in the Record of Depositors of GIAB as at the close of business on an entitlement date to be determined and announced later by the Board of GIAB.

The Board of GIAB, save for Fong Pok Yee who is interested in the Proposed SCR, will deliberate on the Proposed SCR, decide on the next course of action and make a further announcement thereafter.
