- SALE AND PURCHASE AGREEMENT BETWEEN SHARP DIE CUTTING MOULD SDN. BHD., A WHOLLY-OWNED SUBSIDIARY OF CEKD, FOR THE ACQUISITION OF THE PROPERTY ("PROPOSED ACQUISITION")

(Unless otherwise stated, all abbreviations and definitions used herein shall have the same meaning as those used in the Company’s announcement dated 10 October 2025)

 

With reference to our announcement made on 10 October 2025 in relation to the Proposed Acquisition, the Board wishes to announce the additional information ofthe Proposed Acquisition as follows: -

 

1. With regards to the Property, the following information: -

 

i) the amount of lettable space  32,465 square feet
ii) the amount of lettable space available for letting and the occupancy 32,465 square feet
iii) the percentage of occupancy The Property is completely utilised by the Vendor

 

2. The valuation of Property is based on comparison method of valuation which entails sales and listing of similar properties in the locality and supported by confirmation letter by the independent property valuer, JS Valuers Property Consultants (Selangor) Sdn. Bhd., which confirms the indicative market value of the Property.

 

3. The Proposed Acquisition is subject to the State Authority Consent. Under the Agreement, it is the Vendors’ responsibility to obtain the State Authority Consent and to provide the same to the Purchaser or the Purchaser’s Solicitors a certified true copy of the same, within the Conditional Period or Extended Conditional Period or such further period the Parties may mutually agree to satisfy the Condition Precedent.

 

Nevertheless, the Company expects to receive the State Authority Consent within 4 months from the date of the Agreement.

 

4. As at the date of this announcement, the Company only has a copy of the letter issued by the independent property valuer, JS Valuers Property Consultants (Selangor) Sdn. Bhd. dated 7 October 2025 which confirms the indicative market value of the Property is RM15,000,000.00 and the said letter issued is available for inspection at the Company’s Registered Office for a period of three (3) months from the date of this announcement.

 

The Company had approached two (2) potential financiers and successfully obtained their letter of offer. However, as at the date of this announcement, the Company has yet to decide which offer to take. Subsequent to the acceptance of either letter of offer, the Company is required to provide its preferred financier a copy of the full valuation report prior to the disbursement of the loan. The Company expects to execute the letter of offer with our preferred financier by the end of October 2025 and complete the full valuation report to be furnished to the preferred financier by end of November 2025. A copy of the Valuation Report shall be available for inspection at the Company’s Registered Office by end of November 2025.
