We refer to our announcements dated 22 November 2024, 29 November 2024, 10 December 2024, 17 December 2024, 18 December 2024, 7 January 2025 and 13 January 2025 respectively.

The judicial review application no.: JA-25-2-01/2025 applied by the Company on 10 January 2025 was dismissed by the Court on 3 September 2025 purely on technical ground. An announcement of the dismissal was not made because the judicial review was filed ex-parte throughout and under secrecy purpose and there is no obligation to inform any external party.

Subsequent thereto, the Company had on 25 September 2025 applied to the Johor Bahru High Court for a judicial review against the Securities Commission Malaysia (“SC”) vide judicial review application no.: JA-25-28-09/2025 on the same subject matter and the Company had received the sealed application from the Court on 8 October 2025. The Company is seeking amongst others, the following reliefs:

(a) That the Company be granted leave of the Court to file an application for judicial review to the Court against the SC arising out of its decision in dismissing the Company’s application to review its decision with regards to its consent granted under Paragraph 15 of the Take-Over Rules as well as the Capital Market & Services  Act 2007 (“CMSA 2007”) for the appointments of 6 new non-independent directors to the board of directors of the Company before the offer document is despatched vide its letter dated 13 November 2024, pursuant to Section 364 of the CMSA 2007.

(b) The leave sought by the Company in prayer (a) above shall be for the following orders or reliefs at judicial review:-

i. A Certiorari order to quash and/or nullify the decisions made by the SC vide its letter dated 13 November 2024 having granted consent under Paragraph 15.01 of the Take-Over Rules pursuant to TA Securities Holdings Berhad’s application dated 30 October 2024;

ii. A Certiorari order to quash and/or nullify the decisions made by the SC vide its letters dated 9 January 2025 in dismissing the Company’s application to review pursuant to Section 364 of CMSA 2007;

(c) That the SC’s decision vide its letter dated 13 November 2024 and 9 January 2025 are stayed pending the determination of the judicial review application.
