The Board of Directors of UCrest wishes to announce that the existing ESOS of the Company is hereby terminated with effect from 10 October 2025 ("Termination Date") in accordance with the terms of the by-laws governing the existing ESOS ("By-Laws"). According to the By-Laws, the termination of existing ESOS is not subject to any approvals from Bursa Malaysia Securities Berhad ("Bursa Securities") or shareholders of the Company.

The existing ESOS was implemented on 26 April 2018 and was originally effective for a period of 5 years i.e. up to 25 April 2023. Subsequently, on 29 March 2023, the existing ESOS was extended for an additional 5 years and will expire on 25 April 2028 in accordance with the existing ESOS By-Laws.

Pursuant to Rule 8.20(1)(a) of the ACE Market Listing Requirements of Bursa Securities and the By-Law 19.7 of the By-Laws, the Company may at any time during the duration of the ESOS, terminate the ESOS and shall immediately announce to Bursa Securities.

Further details of the termination of the existing ESOS are set out as follows:-

1. Date of termination: 10 October 2025
2. Number of Options exercised: 92,790,000 options.
3. Reasons for termination: The Board does not intend to grant any further options under the existing ESOS.
