We refer to the announcement dated 11 September 2025 in relation to the Proposals. Unless otherwise defined, the definitions set out in the announcement dated 11 September 2025 shall apply herein.
On behalf of the Board, UOBKH wishes to announce that the Company has resolved to only proceed with the Proposed DRP and intends to abort the Proposed Exemption.
This decision was made after the Board’s careful consideration and engagement with the Interested Parties. The Interested Parties will continue to observe their obligations under the Rules on Take-overs and will elect to receive the 2025 Final Dividend in the form of cash and/or Dividend Reinvestment Shares in the proportions such that the obligation to undertake an MGO is not triggered following the completion of the First DRP.
As the Company will not proceed with the Proposed Exemption, the role of an Independent Adviser is no longer required.
