Reference is made to the announcements made on 8 August 2025 and 11 August 2025.

The Board of Directors (“Board”) of Mega Fortris wishes to announce that on 6 October 2025, the Company was served with a Writ of Summons dated 1 October 2025 (the “Writ”) and a Statement of Claim dated 1 October 2025 (“SOC”) (the Writ and SOC are hereby collectively referred to as the “Action”) by Whatman Capital Pte. Ltd. (“Plaintiff”) through their solicitors, Messrs. Gideon Tan Razali Zaini with regards to a contract titled “The Provision of Strategic Consultancy Services for the Proposed Restructuring, Expansion and Listing Plans for Mega Fortris (Malaysia) Sdn. Bhd. dated 1 March 2023” (“Contract”) involving the Plaintiff, the Company’s directors and the Company. Under the Writ, the Company, Dato’ Ng Meng Kee and Datuk Ng Meng Poh are named as the Defendants.

Pursuant to the Action, the Plaintiff has alleged a breach of the Contract and prayed for alleged orders against the Company for payment of the sums of RM3,029,740.00 and RM1,928,500.00 respectively with interests and costs.

The Board, in consultation with their solicitors, are of the view that the Action against the Company is lacking in merit and legal basis, and that there are reasonably good prospects in successfully defending the Action. The Company, through their solicitors, Messrs. LAW Partnership, is in the midst of preparing a defence to the Action.

While the outcome of this matter cannot be determined with certainty at this juncture, the Board is of the view that there is no financial and operational impact on the Company arising from the claim filed by the Plaintiff against the Company at this stage.
