(Unless otherwise stated, all abbreviations used herein shall have the same meanings as those stated in the Prospectus dated 29 August 2025 in relation to the Listing)

Reference is made to Section 11.3.6 of the Prospectus dated 29 August 2025.

On behalf of the Board, M&A Securities wishes to clarify that the maximum financial exposure to Wynntech Star in respect of the legal case amounting to RM1,538,894.23 as set out in Section 11.3.6 of the Prospectus, comprises the principal sum claimed, estimated full trial legal fees, costs, interlocutory legal fees and its costs.

The Company (after taking into account the advice from its solicitors) has not included the interest of RM1,386,269.61 claimed by the Plaintiff in its estimation of the maximum financial exposure as:

(i) The statement of account as at 15 July 2024 provided by the Plaintiff reflects the sum of RM1,352,624.62 as the “due and owing sum” without interest; and

(ii) The Plaintiff’s invoices do not confer upon the Plaintiff any contractual rights to impose late payment charges of 1.5% per month.

Nevertheless, should the interest as at 31 March 2025 claimed by the Plaintiff be taken into consideration, the estimated maximum financial exposure to Wynntech Star is RM2,888,894.23.
