PROPOSED ACQUISITION OF ALL THAT ONE (1) UNIT OF FACTORY CONSISTING OF, INTER ALIA, 1 UNIT OF 3-STOREY OFFICE, 1 UNIT OF 1-STOREY WAREHOUSE, 1 UNIT OF GUARD HOUSE AND 1 UNIT OF PUMP ROOM ERECTED ON THE INDUSTRIAL LAND HELD UNDER 99-YEAR LEASEHOLD TITLE NO. HAKMILIK PAJAKAN MUKIM 2940, NO. LOT 62056, TEMPAT LEMBAH HICOM, PEKAN HICOM, DAERAH PETALING, NEGERI SELANGOR, AND WITH THE POSTAL ADDRESS OF NO. 9 JALAN MANDOLIN 33/5, SEKSYEN 33, 40400 SHAH ALAM, SELANGOR

We refer to the announcement dated 7 March 2025 (“Announcement”). Unless otherwise defined, the definitions set out in the Announcement shall apply herein.

 

The Board of Directors of S & F Capital Berhad wishes to announce that its 55%-owned subsidiary, Pluto Sdn. Bhd. [Registration No. 202201038643 (1484340-D)] (“the Purchaser”), has on 22 September 2025, entered into a Supplementary Agreement with BSH Enterprise (M) Sdn. Bhd. [Registration No. 200501001445 (678490-M)] (“the Vendor”) (“Supplementary Agreement”), to extend the completion date and the extended completion date as stipulated in the Sale and Purchase Agreement dated 7 March 2025 (“SPA dated 7 March 2025”), as follows:-

 

(i) completion date: 15 November 2025 (“the Revised Completion Date”); and

 

(ii) extended completion date: 15 December 2025 (“the Revised Extended Completion Date”),

 

(collectively referred to as “the Extensions of Time”),

 

for the Purchaser to pay the Balance Purchase Price to the Vendor, subject to Clause 6 of the Supplementary Agreement, with no late payment interest to be imposed on the Balance Purchase Price or any part thereof paid within the Revised Completion Date. Late payment interest of 8% per annum shall accrue on the Balance Purchase Price or any part thereof (“Late Payment Interest”) commencing from 16 November 2025 until full settlement of the Balance Purchase Price before the Revised Extended Completion Date, subject to the terms and conditions as stipulated in the Supplementary Agreement, read together with the terms and conditions of the SPA.

 

In consideration of the Supplementary Agreement and the Extensions of Time, the Purchaser shall make cash payment of RM1,800,000.00 to the Vendor by 2 October 2025 and such sum shall form part of the Balance Purchase Price. Following such payment, the remaining Balance Purchase Price of RM9,900,000.00 shall be payable by the Purchaser:-

 

(a)        by the Revised Completion Date; or

 

(b)        together with the Late Payment Interest, by the Revised Extended Completion Date, 

 

subject always to the terms and conditions as stipulated in the Supplementary Agreement, read together with the terms and conditions of the SPA.

 

Save for the above, all other terms and conditions of the SPA and the Announcement dated 7 March 2025 remain unchanged.

 

The Supplementary Agreement is available for inspection at the registered office of S & F Capital Berhad, located at Unit 1203, Level 12, Uptown 1, No. 1 Jalan SS21/58, Damansara Uptown, 47400 Petaling Jaya, Selangor, during normal business hours from Monday to Friday (except public holidays) for a period of 3 months from the date of this announcement.
