The Board of Directors of TXB wishes to announce that Craveat International Sdn Bhd (“CISB” or “the Vendor”), a wholly-owned subsidiary of TXB had on 18 September 2025 entered into a Sale and Purchase Agreement (“SPA”) with Debut Supreme Capital Sdn Bhd (“DSCSB” or “the Purchaser”) (the Vendor and Purchaser collectively known as “the Party” or “the Parties”) to dispose-off 100% equity interest comprising of 1 ordinary shares (“Sale Share”) in Caseria Pasifika Sdn. Bhd. (“CPSB”) for the total purchase consideration of Ringgit Malaysia Four Million Five Hundred Thousand (RM4,500,000.00) only subject to the terms and conditions as stipulated in the SPA (“the Disposal”).

Upon completion of the Disposal, CPSB shall be ceased as the wholly-owned subsidiary of CISB, in turn ceased to be a sub-subsidiary of TXB.
