1. INTRODUCTION

Pursuant to Paragraph 9.19 (19) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, MAAG wishes to announce that Stemarcell Biotech Sdn Bhd (“Stemarcell”), a 75%-owned subsidiary of MAA Corporation Sdn Bhd, which in turn is a wholly-owned subsidiary of MAAG, has at its Extraordinary General Meeting held on 19 September 2025, obtained approval to commence Members’ Voluntary Winding Up in accordance with Section 439 (1)(b) of the Companies Act, 2016 (the “Winding Up”).

Mr. Tam Kok Meng c/o Ooi Tam & Associates PLT, addressed at D2-3, Pusat Perdagangan Bandar Bukit Jalil, Persiaran Jalil 2, Bukit Jalil, 57000 Kuala Lumpur, has been appointed as the Liquidator for the purpose of the Winding Up.

2. RATIONALE FOR THE WINDING UP

Stemarcell was incorporated to carry out the specific business, to market and distribute bone marrow mesenchymal stem cell products. However, this business did not materialise and maintaining Stemarcell serves no strategic purpose. As such, the Winding Up will enable MAAG to save on future statutory and administrative costs required to maintain Stemarcell.

3. EFFECTS OF THE WINDING UP

The Winding Up will not have any material impact on the earnings and net assets of the MAAG group for the financial year ended 30 June 2025.

4. INTEREST OF DIRECTORS, MAJOR SHAREHOLDERS AND PERSONS CONNECTED

None of the directors and/or major shareholders of MAAG and/or persons connected with them have any interests, direct or indirect, in the Winding Up.
