Reference is made to the announcements on 26 April 2024, 25 June 2024, 21 January 2025, 24 January 2025, 03 March 2025,12 March 2025, 17 March 2025 and 26 March 2025 made by the Company in respect of the application to the Kuala Lumpur High Court under Sections 366 and 368 of the Companies Act 2016 (“CA 2016”) to sanction a new Proposed Scheme of Arrangement with its creditors and for a Restraining Order pursuant to Section 368(1) of the CA 2016, filed by the Company and KNM Process Systems Sdn Bhd.

Reference is also made to the Company’s announcement dated 27 March 2025, wherein the High Court granted the Company and its subsidiary, KNM Process Systems Sdn Bhd (collectively, the “Applicants” or the “Appellants”) an ad-interim restraining order pending appeal, until the disposal of the Applicants’ application under Section 44 of the Courts of Judicature Act 1964 before the Court of Appeal.

The Board of Directors wishes to announce that on 18 September 2025, the Court of Appeal allowed the Appellants’ application under Section 44 of the Courts of Judicature Act 1964 to restrain and stay all existing and future actions against the Appellants, pending the disposal of the Appellants’ main appeal, which has been fixed for hearing on 11 May 2026.

Pursuant to the granting of this interim order, all proceedings in any existing actions and/or any new or future actions or proceedings against the Appellants and/or their assets (whether located in Malaysia or outside of Malaysia and whether held by the Appellants or by any trustee in whole or in part, directly or indirectly, as principal or agent, beneficially or otherwise) by all creditors of the Appellants (including contingent or prospective creditors) are restrained and stayed. This includes,  but not limited to actions and proceedings in respect of the following:

(a) Court, winding-up and arbitration proceedings as well as any intended or future proceedings;

(b) execution or enforcement process, extra-judicial proceedings or other proceedings;

(c) any proceedings in the Industrial Court and/or Labour Court;

(d) any proceedings under the Construction Industry Payment and Adjudication Act 2012;

(e) any proceedings in any tribunal/authority under any statute (including any mediation proceedings);

(f) to restrain all creditors (including Scheme Creditors of the Appellants) from taking any actions or proceedings in respect of the demands for any payment, exercise/enforcement or intended exercise/enforcement of any liens, securities, undertakings and guarantees under any documents or security documents relating to the Appellants or otherwise (including exercise/enforcement of any securities [whether located in Malaysia or outside of Malaysia] provided by other companies for facilities granted / services provided by the Scheme Creditors);

(g) appointment of liquidator(s), receiver (s) and / or manager(s), nominee(s) / supervisor(s) (pursuant to an application for corporate voluntary arrangement) and / or judicial manager(s) over the Appellants and/or the Appellants’ assets;

(h) any dealing with the assets of the Appellants in any way or entering upon any premises upon which such assets may be located except with the prior consent of the Appellants or upon further order of the Court;and

(i)Any right of re-entry or forfeiture under any lease in respect of any premises occupied by the Appellants.
