Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the announcements dated 11 August 2025 and 10 September 2025 in relation to the Proposed Private Placement (“Initial Announcement”)

On behalf of the Board, M&A Securities is pleased to announce that Bursa Securities, vide its letter dated 11 September 2025, has resolved to approve the listing of and quotation for up to 9,048,000 Placement Shares representing not more than 10.0% of the issued shares of the pursuant to the Proposed Private Placement subject to the following conditions:

(i)     ARK and M&A Securities must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposed Private Placement;

(ii)     ARK/M&A Securities to furnish Bursa Securities with a certified true copy of the resolution passed pursuant to Sections 75 and 76 of the Act, in the event the existing authority has expired prior to the full implementation of the Proposed Private Placement;

(iii)     M&A Securities to inform Bursa Securities upon the completion of the Proposed Private Placement; and

(iv)     ARK and M&A Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed.
