On behalf of the Board of Directors of Hexza, UOB Kay Hian (M) Sdn Bhd (formerly known as UOB Kay Hian Securities (M) Sdn Bhd) wishes to announce that the Company proposes to undertake the following:-

1. the establishment of a DRP, which will provide the shareholders of Hexza with an option to elect, in whole or in part, to reinvest their cash dividend as may be declared by Hexza, whether interim, final, special or any other types of cash dividend, in new ordinary shares of Hexza (“Hexza Share(s)” or “Share(s)”); and
2. the exemption for Summit Holdings Sdn Bhd, Datuk Dr. Foong Weng Sum and the persons acting in concert with them from the obligation to undertake a mandatory take-over offer for all the remaining Hexza Shares not already held by them arising from the completion of the First DRP (as defined in the attachment below) under subparagraph 4.08(1)(c) of the Rules on Take-Overs, Mergers and Compulsory Acquisitions issued by the Securities Commission Malaysia,

(collectively referred to as the “Proposals”).
