Unless otherwise defined, the abbreviations and definitions used in the offer document dated 25 July 2025 ("Offer Document"), the announcement dated 15 August 2025 in relation to the Company's non-compliance with the public shareholding spread requirement pursuant to Paragraph 8.02(1) of the Listing Requirements of Bursa Securities, and the announcement dated 22 August 2025 in relation to the closing of the Offer (collectively, the "Announcements") shall apply herein.

We refer to the Offer Document and the Announcements.

The Board wishes to announce that based on the record of depositors of Kim Hin as at 22 August 2025, the public shareholding spread of Kim Hin stood at 23.75%, computed based on the information on equity structure prescribed in Appendix 8E of the Listing Requirements. Accordingly, Kim Hin does not comply with the Public Spread Requirement.

For information purposes, the shortfall in the public shareholding spread was a direct consequence of Valid Acceptances pursuant to the Offer and the dealings in Kim Hin Shares by Chua Seng Huat (being one of the Joint Offerors) during the period of the Offer.

As at the date of this announcement, the Company has yet to formulate any rectification plan to address the shortfall in the Public Spread Requirement. Accordingly, the Company will apply to Bursa Securities for an extension of time to rectify the said shortfall and will continue to monitor the level of the public shareholding spread and make the necessary announcements in relation to the status of Public Spread Requirement in accordance with the Listing Requirements.
