INTRODUCTION

Puncak Niaga Holdings Berhad (“Puncak” or “the Company”) wishes to announce that Sino Water Pte Ltd (“Sino Water”), a 98.65%-owned subsidiary of the Company, had at its Extraordinary General Meeting held on 22 August 2025, obtained the necessary approval to commence Members’ Voluntary Winding-Up.

In accordance therewith, Messrs. Ng Kian Kiat and Goh Wee Teck of 8 Wilkie Road, #03-08 Wilkie Edge, Singapore 228095, have been appointed as Joint and several Liquidators of Sino Water for the purpose of the said winding up.

INFORMATION ON SINO WATER

Sino Water was incorporated in the Republic of Singapore on 11 December 2007 as a private limited company under the Singapore Companies Act, Cap. 50. The company is currently dormant and has no intention of carrying out any business in the future.

RATIONALE

The winding-up of Sino Water, Puncak’s dormant overseas subsidiary in Singapore, is part of the Puncak Group’s ongoing initiative to streamline its corporate structure and enhance administrative efficiency. The exercise will also enable the Group to avoid incurring future costs associated with the maintenance of dormant companies.

FINANCIAL EFFECTS

The winding up of Sino Water will not have any material effect on the earnings, net assets and gearing of the Puncak Group for the financial year ending 31 December 2025.

DIRECTORS' AND/OR MAJOR SHAREHOLDERS' INTEREST

None of the Directors and Substantial Shareholders of Puncak or persons connected with them have any interests, direct or indirect, in the voluntary winding up, except for Encik Azlan Shah bin Rozali who holds 1 unit share in Sino Water.

APPROVAL REQUIRED

The Members’ Voluntary Winding-Up of Sino Water is not subject to the approval of the shareholders of Puncak.
