Unless otherwise defined, the definitions used in this announcement shall have the same meaning as those defined in the Company's announcement dated 18 July 2025 and 28 July 2025 in relation to the Proposed Employee Share Scheme ("Announcements").

Reference is made to the Announcements.

On behalf of the Board, M&A Securities wishes to announce that Bursa Securities had, vide its letter dated 20 August 2025, resolved to approve the listing of and quotation for the new UIB Shares representing up to 15.0% of the total issued share capital of UIB (excluding treasury shares, if any), to be issued pursuant to the Proposed ESS.

The approval granted by Bursa Securities is subject to the following conditions:

(i) M&A Securities is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESS pursuant to Rule 6.44(1) of the Listing Requirements and stating the effective date of implementation, together with a certified true copy of the resolution passed by the shareholders in general meeting;

(ii) UIB is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the Proposed ESS, as at the end of each quarter together with a detailed computation of listing fees payable; and

(iii) The new shares to be issued pursuant to the Proposed ESS to any Eligible Person whose Shares are subject to moratorium pursuant to Rule 3.19(1) of the Listing Requirements shall be subject to the same moratorium.
