Reference is made to the Company's Announcements in relation to the proposed establishment of a JV Company for the development and commercialisation of an AI Solution in the form of a local Large Language Model (LLM) for the education sector.

The Board of Directors of SHB wishes to announce that both Parties have now mutually agreed to a further extension of two (2) months, from 18 August 2025 to 18 October 2025, to allow additional time to finalise the commercial terms and complete the necessary due diligence for the proposed JV Company.

This extension is to ensure that the JVA is executed on mutually acceptable terms and to safeguard the interests of both Parties.
