Reference is made to the Company’s announcements dated 4 August 2025, 7 August 2025 and 11 August 2025 in relation to the Proposed Private Placement (“Announcements”). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the aforesaid Announcements.

On behalf of the Board, RHB Investment Bank wishes to announce that Bursa Securities has, vide its letter dated 12 August 2025, resolved to approve the listing of and quotation for up to 35,336,200 Placement Shares to be issued pursuant to the Proposed Private Placement, subject to the following conditions:

(i)       Kimlun and RHB Investment Bank must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Private Placement;

(ii)       Kimlun and RHB Investment Bank are required to inform Bursa Securities upon the completion of the Proposed Private Placement;

(iii)      Kimlun is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed;

(iv)      Kimlun is required to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders of the Company pursuant to Sections 75 and 76 of the Act, in the event the current general mandate expires prior to the completion of the Proposed Private Placement; and

(v)      additional listing fee payable based on the final issue price together with a copy of the details of the computation of the amount of listing fees payable (where applicable).
