We refer to the announcements dated 11 July 2025, 16 July 2025 and 28 July 2025 in relation to the Proposed Acquisition. Unless otherwise defined, the definitions set out in the previous announcements shall apply herein.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities has, vide its letter dated 1 August 2025, resolved to approve the listing of and quotation for 16,244,521 new ordinary shares (“Consideration Shares”) to be issued pursuant to the Proposed Acquisition, on the Main Market of Bursa Securities.

The approval granted by Bursa Securities for the Proposed Acquisition is subject to the following conditions:-

1. SkyGate and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Acquisition;
2. SkyGate and UOBKH to inform Bursa Securities upon the completion of the Proposed Acquisition; and
3. SkyGate and UOBKH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Acquisition is completed.
