The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposed Transfer.
We refer to the earlier announcements dated 24 March 2026 and 3 April 2026 in relation to the Proposed Transfer.
On behalf of the Board, UOBKH wishes to announce that the SC had, vide its letter dated 1 October 2026, approved the Proposed Transfer under Section 214(1) of the Capital Markets and Services Act 2007. The SC also noted that N'osairis Technology Solutions Sdn Bhd ("NTS"), a wholly-owned subsidiary of SMRT is a Malaysia Digital Status company which contributed more than 50% of SMRT's after-tax profit for the audited financial year ended 30 June 2025. Accordingly, SMRT is exempted from complying with the Bumiputera equity requirement for public listed companies ("Bumiputera Equity Requirements") pursuant to the Proposed Transfer.
Nevertheless, UOBKH and SMRT must immediately notify the SC if NTS' contribution to SMRT's after-tax profit falls below 50% for the most recent audited financial year prior to the Proposed Transfer. In such circumstances, SMRT is required to comply with the Bumiputera Equity Requirements at the point of transfer. In addition, SMRT must submit an application to the SC under the Bumiputera Equity Requirement for reassessment if SMRT undertakes subsequent corporate proposals which would result in a significant change in the business direction or policy of SMRT.
Information on the Company in compliance with Paragraph 2A.2 under Practice Note 22 of the Main Market Listing Requirements of Bursa Securities is set out in the enclosed attachment.
This announcement is dated 2 October 2026.
